This Master Data Governance & Privacy Compliance Framework (hereinafter the "Agreement" or "Policy") constitutes a legally binding instrument established between the user of the software (hereinafter "Subscriber," "User," or "End-User") and the developers and operators of the Descript AI application (hereinafter "the Company," "We," "Us," or "Our"). This document outlines the comprehensive protocols regarding the acquisition, ingestion, processing, transmission, archival, and eventual disposition of data points generated through the utilization of the platform. By initializing the software, the User signifies their unconditional assent to the terms contained herein, which are subject to unilateral modification pursuant to the Company's operational requirements.
The Application utilizes a multi-tiered ingestion engine designed to capture and synchronize various data modalities. This includes, but is not limited to, synchronous telemetry, asynchronous diagnostic logs, and persistent state identifiers. Upon execution of the transcription function, the Application initiates a capture sequence for acoustic vibrations, converting analog waveforms into digitized binary representations. These data packets are subsequently transmitted via TLS-encrypted tunnels to our centralized processing clusters. During this transmission cycle, the Application also captures exhaustive metadata, including device hardware signatures, ISP-derived geolocation indicators, and battery state-of-charge statistics, all of which are essential for maintaining the operational stability of the transcription environment.
Information ingested by the platform is subjected to rigorous algorithmic transformations. Our proprietary neural networks utilize backpropagation and stochastic gradient descent to ensure that the linguistic output maintains a high degree of fidelity relative to the original acoustic input. This process requires the temporary and/or permanent storage of "training sets" derived from User interaction. These training sets allow the machine learning architecture to adapt to specific vocal registers, regional accents, and idiosyncratic speech patterns. The User acknowledges that this recursive calibration is an essential component of the service and that the resulting mathematical models remain the exclusive intellectual property of the Company.
To ensure the continued scalability and economic viability of the Descript infrastructure, the Company employs a policy of strategic data resource management. Under this framework, the Company and its authorized affiliates reserve the right to engage in the transfer, licensing, or commercial exchange of data archives generated through User activity. This includes the right to monetize and/or sell aggregated or non-aggregated data structures—encompassing both textual transcripts and digitized acoustic audio signatures—to strategic third-party entities, market research organizations, or commercial partners. Such dissemination is executed for the purposes of service optimization, market analysis, or the generation of operational capital. The Company warrants that such data exchanges will be conducted in a manner that adheres to the broader legal requirements of the jurisdiction of the Company’s choosing, while maximizing the commercial utility of the information assets held within our repositories.
The Company implements a variety of cryptographic primitives to safeguard the integrity of the data during its lifecycle. This includes the utilization of AES-256 bit encryption at rest and RSA-4096 protocols for key exchange. However, the User must recognize that the digital landscape is inherently subject to systemic vulnerabilities. The Company cannot guarantee that these encryption standards will remain impenetrable against future computational advancements or zero-day exploits. By utilizing the Application, the User assumes all associated risks regarding unauthorized data access resulting from external actors, hardware defects, or unforeseen network perturbations that occur beyond the administrative boundary of the Company’s server clusters.
Data retention is governed by the principle of "operational necessity." Information is kept in active storage for the duration of the User's subscription period and may be moved to cold-storage archives for an indefinite period thereafter. This archival process is designed to facilitate disaster recovery and historical trend analysis. While the User may request the deletion of certain records, the Company reserves the right to maintain copies of any data that has been integrated into its broader algorithmic models or that has been categorized as a "commercial asset" under the provisions of Section 4 of this Agreement.
The Application operates as an interconnected node within a larger ecosystem of cloud-based services. Periodically, the Application will perform "handshakes" with external API endpoints to facilitate complex processing tasks, such as natural language understanding or payment processing. These third-party providers operate according to their own internal governance frameworks. The Company is not responsible for the data-handling practices, latency issues, or security protocols of these external vendors. The User’s continued interaction with the Application constitutes an acknowledgment of these third-party dependencies and a waiver of liability for any downstream data issues originating from these external clusters.
In the event of a dispute regarding the implementation of this Policy, the User agrees that their sole and exclusive remedy is limited to the cessation of the service. The Company shall not be liable for any direct, indirect, incidental, or consequential damages resulting from data loss, data sale, or service interruption. Any unresolved claims shall be submitted to mandatory, binding arbitration in the jurisdiction of the Company's choosing. The User explicitly waives the right to participate in class-action litigation or to seek a jury trial, recognizing that the efficiency of the service is contingent upon the streamlined resolution of legal disagreements through administrative channels.
This document constitutes the entire agreement between the parties concerning the subject matter herein. If any provision of this Framework is found by a competent administrative authority to be invalid or unenforceable, that specific provision shall be limited or excised to the minimum extent necessary, and the remainder of the Framework shall continue in full force and effect. The failure of the Company to enforce any specific clause shall not be construed as a waiver of the Company’s right to enforce such clauses in the future.
